Agreement to Terms

By downloading, installing, accessing, or using Vendivo, its website, or the optional Account Center (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.

License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Vendivo for your personal or commercial use.

What You Can Do

  • Use the App for personal or commercial streaming and recording
  • Use the App on multiple devices you own
  • Stream to any platform compatible with OBS Studio

What You Cannot Do

  • Reverse engineer, decompile, or disassemble the App
  • Remove or modify any proprietary notices
  • Use the App for any illegal purposes
  • Redistribute or resell the App
  • Use the App in a way that violates any laws or regulations

Plans and Payments

Vendivo's launch plan is priced at $59.00 per month. Creating an account does not by itself start a paid subscription. Before billing begins, the checkout or purchase screen will show the applicable price, billing period, renewal terms, and any taxes or regional differences.

Trials and Introductory Offers

No free plan, trial, annual plan, or lifetime plan is promised as part of the launch offer. Any future trial or introductory offer will be displayed before purchase. Eligibility may vary by account, platform, and region.

Subscriptions

  • The public launch price is $59.00 per month
  • Creating a Vendivo account does not start billing
  • Subscriptions will be managed through the provider that processes the purchase
  • Renewal, cancellation, and billing-period terms will be displayed before purchase

Refunds

Refund requests are subject to the terms and official support process of the payment provider or app store that processed the purchase, together with applicable law.

User Content

You retain all rights to the content you create using Vendivo. We do not claim any ownership over your videos, streams, or recordings.

You are solely responsible for the content you create and stream. You must ensure you have all necessary rights, licenses, and permissions for any content you stream.

Accounts and Workspace Roles

Some Vendivo features require an Account Center sign-in through our identity provider. You are responsible for maintaining the security of that identity account, providing accurate information, and promptly revoking sessions or devices you no longer control. Workspace owners and administrators can invite members and assign roles; they are responsible for granting only the access their team needs.

Staff access is restricted and audited. Vendivo support does not offer unrestricted impersonation, and a read-only support grant does not authorize staff to modify customer production data.

Cloud Service Availability

Account, invitation, entitlement, marketplace, and other online features may occasionally be unavailable for maintenance or because a third-party provider is unavailable. Vendivo is designed so a temporary account-service outage does not remotely terminate an active local recording or production. Features that depend on a marketplace, identity provider, app store, or billing provider remain subject to that provider's availability, eligibility rules, and terms.

Acceptable Use

You agree not to use the Services to:

  • Stream or record content that is illegal, harmful, or violates others' rights
  • Harass, abuse, or harm others
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt Vendivo or its related services
  • Violate any laws or regulations

Intellectual Property

Vendivo and all related materials are protected by copyright, trademark, and other intellectual property laws. The App name, logo, and all related graphics are trademarks of Spitfire Creative.

Third-Party Software

Vendivo is designed to work with OBS Studio, which is developed and maintained by the OBS Project. We are not affiliated with or endorsed by the OBS Project. OBS Studio is licensed under the GNU General Public License v2.0.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Technical Requirements

You are responsible for ensuring your devices and network meet the minimum requirements to use Vendivo. We are not responsible for issues arising from inadequate hardware, software, or network conditions.

Updates and Changes

We may update, modify, or discontinue the Services at any time without notice. We may also update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the new Terms.

Termination

We may suspend or terminate access to online Services when reasonably necessary to address a Terms violation, security risk, legal requirement, nonpayment, or material harm to Vendivo or another user. Suspension of an online account does not give Vendivo remote control over an active local production. Your software license ends when these Terms or the applicable license end.

Privacy

Your use of Vendivo is also governed by our Privacy Policy. Please review it to understand what remains on your device and what the optional Account Center, website, downloads, identity, transactional email, and support systems process.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
